These Terms of Service (“Terms”) are a legally binding agreement between you (“you” or “Customer”) and Fyrii, which refers collectively to Fyrii.AI Inc., a Delaware corporation, and Fyrii Software Solutions Pvt. Ltd., an Indian private limited company. Fyrii provides software products and services (collectively, the “Services”) offered through a suite of web-based applications and platforms, accessible via unique customer environments and the website located at https://fyrii.ai.
Please read these Terms carefully before using the Services. By accessing or using any part of the Fyrii platform, you agree to be bound by these Terms. If you do not agree, do not access or use our Services.
1. Scope of Services
Fyrii delivers a suite of software solutions designed for enterprise customers to manage their API ecosystems and developer workflows. These include:
- DevX: A documentation and developer portal management platform for publishing and maintaining technical content in a structured and user-friendly format.
- Catalog: A centralized digital asset inventory for managing APIs, SDKs, metadata, ownership, and lifecycle, with import capabilities from gateways like AWS API Gateway and Apigee.
- Orchestrator: A low-code automation engine enabling users to design, execute, and monitor API-driven workflows and business processes.
- Observability: A flexible, pluggable monitoring solution that connects to a variety of telemetry sources such as Prometheus, OpenTSDB, Loki, Jaeger, MySQL, Postgres, and CloudWatch to build custom dashboards and insights.
Each customer is provisioned a dedicated, single-tenant instance of the platform hosted on a unique domain. Services may be delivered as SaaS (hosted by Fyrii on AWS) or deployed on the customer’s own infrastructure for self-hosted scenarios.
2. Account Registration and Access
To access the Services, your organization must first execute a commercial agreement with Fyrii. Following this, you may provision users on your instance either via local registration or SAML-based Single Sign-On (SSO) integration.
You are responsible for:
- Ensuring that all account information is accurate and kept up to date.
- Maintaining the security and confidentiality of login credentials.
- Ensuring that only authorized individuals access your instance of the Services.
Fyrii is not liable for any unauthorized access resulting from your failure to safeguard credentials or enforce internal access controls.
We may, at our discretion, offer a free trial or limited free tier depending on your contractual agreement, but this is not guaranteed and is subject to usage limits and feature restrictions.
3. Billing and Payment Terms
Fyrii operates on a contract-invoicing model. All payments are invoiced manually, and the correct entity will bill the customer based on jurisdiction:
- Fyrii.AI Inc. will issue invoices for customers in the United States and other international regions, where applicable.
- Fyrii Software Solutions Pvt. Ltd. will issue invoices for customers based in India.
Payment terms, frequency (e.g., monthly, quarterly, annually), and due dates are detailed in your Master Services Agreement (MSA) or Statement of Work (SOW). Late payments may incur fees or lead to suspension of services.
Fyrii does not offer automated refunds unless explicitly agreed upon in the customer contract.
4. Intellectual Property Rights
4.1.
Customer Data
All content, data, or assets that you upload to your Fyrii instance — including API specifications, markdown files, workflow definitions, logs, metrics, and configurations — remain your property (“Customer Data”). You grant Fyrii a limited, non-exclusive, worldwide, royalty-free license to access, host, process, and display Customer Data solely for the purpose of providing the Services.
4.2.
Fyrii Platform
All rights, title, and interest in and to the underlying platform, including its source code, software libraries, APIs, visual design, and infrastructure — whether hosted or self-deployed — remain the exclusive property of Fyrii. You may not copy, reverse engineer, decompile, or attempt to derive source code from any part of the platform.
4.3.
Usage Data
We reserve the right to collect and analyze anonymized and aggregated data from your usage of the Services to improve system performance, detect usage patterns, and inform product development. This data will not include personally identifiable information unless separately disclosed in our Privacy Policy.
5. Privacy and Data Collection
Your use of the Services is also governed by our Privacy Policy, which outlines how we collect, store, and process personal data.
In brief:
- We collect personal information such as names, email addresses, and organizational roles only to the extent necessary to provide access and support.
- We collect telemetry, logs, and product usage data for analytics purposes. This data is not tied to specific user identities in production systems.
- We do not use tracking or advertising cookies. Only session-based cookies essential for authentication and access control are employed.
We encourage all customers to review our Privacy Policy regularly, as it forms a binding part of these Terms.
6. Acceptable Use Policy
You agree to use the Services only for lawful purposes and in a manner consistent with these Terms. You may not:
- Use the platform to publish, store, or distribute content that is unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
- Attempt to interfere with, disrupt, or compromise the integrity or security of the Services.
- Upload malware or use the platform to host any code intended to harm others or the platform.
- Engage in automated scraping, data harvesting, or reverse engineering of any part of the platform.
For customers using Fyrii’s SaaS hosting, we reserve the right to suspend or terminate your instance without notice if, in our sole judgment, your content or conduct violates these Terms or applicable law.
7. Service Availability and Support
7.1.
SaaS Deployments
Fyrii-hosted environments are deployed on AWS and include high-availability architecture by default. Service availability commitments and escalation procedures are governed by your SLA.
7.2.
Self-Hosted Deployments
Customers opting for self-hosting are fully responsible for the deployment, uptime, and operational integrity of their own instance. Fyrii will provide installation instructions and support within agreed scopes.
7.3.
Support
Support levels (e.g., business hours, 24×7, response times) are defined in the customer agreement. Support is available via email, ticketing systems, or designated account representatives.
8. Changes to the Services or Terms
We may periodically update these Terms or modify the Services to reflect improvements, regulatory changes, or other business requirements. Where possible, we will provide advance notice of material changes via email or in-app notification.
Continued use of the Services following the effective date of any changes constitutes your acceptance of the updated Terms.
9. Legal Jurisdiction and Dispute Resolution
These Terms shall be governed by the laws of the country in which you are primarily located:
- For customers in the United States, these Terms are governed by the laws of the State of Delaware.
- For customers in India, these Terms are governed by Indian law.
Any disputes arising out of or relating to these Terms or the Services shall be resolved by binding arbitration, conducted in English, in the jurisdiction corresponding to your customer location. You agree that arbitration will be the exclusive means of dispute resolution and that you waive the right to bring or participate in any class action suit.
10. Disclaimers and Warranties
The Services are provided on an “as-is” and “as-available” basis without warranties of any kind, either express or implied. Fyrii expressly disclaims all warranties, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose
- Non-infringement
- System uptime or uninterrupted access outside of explicitly defined SLAs
Fyrii makes no guarantees as to the availability, performance, or reliability of features not explicitly covered in your agreement.
11. Limitation of Liability
To the maximum extent permitted by law, Fyrii’s total liability arising out of or related to these Terms or the Services shall not exceed the total amount paid by you for the Services in the six (6) months preceding the claim.
Under no circumstances shall Fyrii be liable for:
- Loss of profits or revenue
- Loss of data
- Indirect, incidental, punitive, or consequential damages
- Business interruption or reputational harm
